Job Description



As Senior Legal Counsel, you will play a pivotal role in handling various legal matters, including international cross-border M&A transactions, joint ventures, corporate affairs, and commercial work related to sales, marketing, distribution, and procurement contracts. This role requires a seasoned legal professional with a strong background in corporate and commercial law.

Description


Provide expert legal advice and support on international cross-border M&A transactions, including drafting, reviewing, and negotiating transaction documents.Advise on joint venture agreements, ensuring compliance with local and international laws.Manage corporate affairs, including corporate governance, regulatory compliance, and corporate restructuring.Oversee commercial contracts related to sales, marketing, distribution, and procurement, ensuring they align with company policies and legal requirements.Collaborate with internal departments to ensure legal risks are identified and mitigated effectively.Stay updated on relevant legal developments and advise the company on potential impacts.Liaise with external legal advisors and represent the company in negotiations and legal proceedings as needed.Develop and implement legal strategies to support the company's business objectives.Provide training and guidance to junior legal staff and other departments on legal issues.




Profile


Bachelor's degree in Law from a recognized institution; a Master's degree or additional legal qualifications will be an advantage.Licensed to practice law in Saudi Arabia.Minimum of 8 years of experience in corporate and commercial law, with some exposure to international cross-border M&A transactions and joint ventures.Strong knowledge of Saudi Arabian law and regulations, as well as international legal frameworks.Proven experience in drafting and negotiating complex commercial contracts.Excellent analytical, negotiation, and communication skills.Ability to work effectively in a fast-paced, dynamic environment and manage multiple priorities.Proficiency in Arabic and English, both written and spoken.
