Job Description

Aim of the position:

Within an archaeological project funded by AICS in partnership with the University of Bologna and Catania, the Lawyer will facilitate the legal registration of a new association in Iraq of workers specialised in producing mud bricks and draft the association’s statute (bylaws) in line with Iraqi law and project objectives. Moreover, he/she will support the legal establishment of a consortium with relevant stakeholders.

 

Period: Consultant contract based on deliverables

Deliverables and responsibilities:

Timeline

Legal assistance for the establishment of a mud brick workers’ company/association (not an NGO) which includes:

·        Provision of legal advice to determine the most appropriate legal form under the Iraqi legal framework (association, cooperative, company, or other legally recognized structure).

 

·        Drafting and/or review of the Articles of Association and founding documents, including definition of legal purpose and objectives; governance structure; governing bodies and their respective powers; membership admission, withdrawal, and exclusion procedures; administrative and financial management rules; legal representation.

 

·        Support in the formal establishment of the entity through a private agreement, where permitted under applicable legislation.

 

·        Preliminary guidance on compliance requirements and procedures necessary for subsequent legal registration with the competent authorities.

By end of April 2026

Establishment, regulation, and legal registration of a consortium of entities operating in the tourism sector. The deliverable includes:

 

·        Legal assistance for the establishment of a consortium composed of entities operating in the tourism sector (e.g., local guides, travel agencies, visitor centres, etc.), in compliance with applicable Iraqi legislation.

 

·        Definition of the governance structure and management mechanisms of the consortium, including membership criteria and eligibility requirements; decision-making bodies and their respective powers; voting mechanisms and decision-making procedures; allocation of roles, responsibilities, and obligations among members.

 

·        Drafting of internal regulations governing including members’ rights and obligations; operational procedures of the consortium; dispute resolution mechanisms (including mediation or arbitration where legally permissible); transparency and reporting provisions.

 

·        Preparation, submission, and follow-up of all documentation required for the legal registration of the consortium, including coordination and liaison with the competent Iraqi authorities.

By June 2026

Legal registration of the mud brick workers’ association. The deliverable includes:

 

  • Legal assistance and representation for the formal registration of the association before the competent Iraqi authorities.
  • Preparation, review, and submission of all documentation required under applicable Iraqi law.
  • Support in obtaining any required authorizations, certificates, or official registrations necessary for the entity’s lawful operation.

 

By June 2027



Essential requirements:

  • Master degree in Law (Commercial/Corporate Law).
  • Minimum 4 years of professional experience in company registration and legal advisory in Iraq.
  • Demonstrated experience drafting statutes, bylaws, and consortium agreements.
  • Strong knowledge of Iraqi corporate, labour, and civil law.

 

Required skills and experiences:

  • Strong organizational skills.
  • Fluency in Arabic (mandatory); knowledge of English is an asset.
